RULES ON THE PURCHASE AND SALE OF GOODS
1. Definitions
1.1.The Seller - IRLIDA, a Lithuanian company, duly registered and operating in the Republic of Lithuania, legal entity code 301542359, VAT payer code LT100003841714, registered office address Sodo 24, LT-76178 Šiauliai.

1.2. www.tdc.lt - an online shop located at www.tdc.lt
1.3.The Buyer shall be (1) a natural person of legal capacity, i.e. a person who has attained the age of majority and whose legal capacity has not been restricted by a court order; (2) a minor aged between fourteen and eighteen who has the consent of his parents or guardians, unless he is emancipated; (3) a legal person; and (4) the duly authorised representatives of all of the above.
1.4 The Parties are the Buyer and the Seller together.
1.5 Personal data shall mean any information relating to a natural person, that is to say, a data subject, whose identity is known or can be identified, directly or indirectly, by reference to data such as a personal identification number or to one or more factors specific to that person, be they physical, physiological, psychological, economic, cultural or social.
1.6. „Terms and Conditions" means these "Terms and Conditions for the purchase and sale of goods in the Online Shop www.tdc.lt rules“. Account - Buyer registration www.tdc.lt the result of creating an account that stores your personal data and order history.
1.7. "Privacy Policy" means a document approved by the Seller, which sets out the basic rules for the collection, storage, processing and retention of Personal Data when using www.tdc.lt.

2. General provisions
2.1. the Customer confirms that he/she has read the Terms and Conditions, has duly understood and is familiar with the Terms and Conditions for the purchase and sale of goods in the online shop www.tdc.lt the rules and accept them. The Rules so approved shall constitute a binding legal document for the Parties, setting out the rights and obligations of the Buyer and the Seller, the conditions for the purchase of the Goods and payment for them, the procedure for the delivery and return of the Goods, the liability of the Parties, and any other matters relating to the purchase and sale of the Goods www.tdc.lt related conditions.
2.2. Buy www.tdc.lt only Buyers, as defined in point 1.3 of the Rules, shall be entitled to do so. By accepting the Terms and Conditions and reading the Privacy Policy, the Buyer confirms that he/she has the right to purchase the goods www.tdc.lt.
2.3.Please be advised that the Seller shall have the right to change, amend or supplement the Terms and Conditions if the need arises or in the circumstances provided for by the legislation of the Republic of Lithuania. We recommend that you review the Terms and Conditions each time you make a purchase.
2.4 These Terms and Conditions and any Contracts between the Seller and the Buyer shall be in the Lithuanian language only.
3. Ordering the goods, the moment when the legal relationship of sale and purchase is established
3.1 The Buyer may order goods www.tdc.lt by choosing one of the following methods:
3.1.1. by registering online www.tdc.lt (by entering your username and password);
3.1.2. without registering online www.tdc.lt;
3.1.3. telephone;
3.1.4. at the place of collection - Sodo 24, LT-76178 Šiauliai
3.2 When ordering goods by one of the methods specified in Clauses 3.1.1 - 3.1.2 of the Terms and Conditions, the Buyer must provide the Personal Data necessary for the proper execution of the order as stipulated in the Privacy Policy.
3.3 When the Buyer, having selected the goods or services to be purchased and having formed a shopping cart, completes all the steps of the order, the last of which is the selection and confirmation of the payment method, it shall be deemed that a legal relationship of sale and purchase has been established and a contract of sale and purchase has been concluded between the Seller and the Buyer.
3.4 Once the Buyer has placed an order, an email will be sent to the Buyer confirming receipt of the order.
3.5 Each Buyer's order shall be stored www.tdc.lt in the database.
4. Buyer's rights
4.1 The Buyer has the right to purchase the Goods www.tdc.lt in accordance with these Rules.
4.2 The Buyer shall have the right to cancel the order in accordance with the procedure set out in these Terms and Conditions.
4.3 The Buyer shall have the right to withdraw from the Contract in accordance with the procedures set out in these Terms and Conditions.
4.4 The Buyer shall have the right to exchange or return the purchased goods in accordance with the procedure set out in the Regulations.
4.5 The Buyer shall have other rights set out in these Rules, the Privacy Policy and the legislation of the Republic of Lithuania.
5. Obligations of the Buyer
5.1. the Buyer shall, by using www.tdc.lt, shall comply with its obligations, these Terms and Conditions, the Privacy Policy, and any other terms and conditions expressly stated in www.tdc.lt, and not to infringe the legislation of the Republic of Lithuania.
5.2 Once registered, the Buyer is responsible for the transfer of his/her login data to third parties. If a third party uses the services provided by the e-shop by logging in to the e-shop using the Buyer's login data, the Seller shall consider this person as the Buyer.
5.3 The Buyer shall pay for and accept the goods ordered in accordance with these Terms and Conditions. If the Buyer chooses to collect the Goods at the place of collection, the Buyer must collect the Goods at the chosen place of collection within the time limits set out in the Terms and Conditions.
6. Seller's rights
6.1 The Seller shall have the right to suspend or terminate www.tdc.lt activities. In this case, all accepted and confirmed orders of Buyers shall be closed and no new orders shall be accepted.
6.2 If the Buyer fails to comply with its obligations, the Seller shall be entitled to immediately and without prior notice restrict or suspend the Buyer's access to www.tdc.lt or, in exceptional cases, cancel the Buyer's account.
6.3 The Seller shall have the right to cancel the Buyer's order without prior notice if the Buyer fails to pay for the Goods within 3 (three) working days.
7. Obligations of the Seller
7.1 The Seller undertakes to make clear and understandable www.tdc.lt provide the Buyer with information about the Goods.
7.2 The Seller undertakes to respect the privacy of the Buyer. The Seller shall process the Buyer's Personal Data only in accordance with the procedure established by the Rules, the Privacy Policy and the legal acts of the Republic of Lithuania.
7.3 Subject to the Terms and Conditions, the Seller undertakes to deliver the Goods ordered by the Buyer and to accept the Buyer's returns.
7.4 If the Seller is unable to deliver the goods ordered to the Buyer due to important circumstances, the Seller undertakes to offer the Buyer an analogous product or a product that is as similar as possible in terms of its characteristics. If the Buyer refuses to accept the goods offered as analogous or similar, the Seller undertakes to refund the Buyer the money paid within 14 (fourteen) working days in the case of prepayment, and in all cases to cancel the order.
7.5.The Seller undertakes to fulfil other obligations imposed on the Seller by the Privacy Policy and the legislation of the Republic of Lithuania.
8. Prices, payment procedures and terms
8.1. Commodity prices www.tdc.lt are quoted in euros on the order form, including the VAT rate applicable at the time, in accordance with the law.
8.2 The Buyer may pay for the ordered goods in one of the following ways:
8.2.1. electronic banking;
8.2.2. by bank transfer;
8.2.3. in cash or by bank card at the time of collection;
8.2.4. under a deferred payment agreement;
8.3 When the Seller receives payment for the Goods (if the Buyer has chosen the method of payment set out in Clauses 8.2.2 to 8.2.4 of the Terms and Conditions), the order shall be confirmed and the delivery period shall begin.
8.4 By accepting the Terms and Conditions, the Buyer agrees that the documents of purchase of the Goods, i.e. the VAT invoices, which are also the warranty vouchers for the Goods, shall be provided to the Buyer by electronic means to the e-mail address specified in the Buyer's registration form immediately after the completion of the order. The VAT invoices shall specify the goods selected, the quantity, the discounts granted, the final price of the goods, including all taxes, and any other data required to be provided in accordance with the accounting legislation.
8.5 If the price of an item is not the same online and in-store, the in-store price is the correct price.
9. Delivery of goods
9.1 If the Buyer chooses a home delivery service at the time of ordering:
9.1.1. the Buyer must use Lithuanian letters when providing his/her data. Names, surnames and place names must begin with a capital letter. It is necessary to provide the exact address of the place of residence, which is necessary not only for the delivery of the goods, but also for the creation of the invoice.
9.1.2 The Buyer undertakes to accept the Goods himself. A valid proof of identity (identity card, passport or new driving licence) must be presented at the time of acceptance. If the Buyer is unable to accept the goods himself and the goods have been delivered to the address indicated by the Buyer, the Buyer shall not be entitled to claim against the Seller for delivery of the goods to the wrong person.
9.2 The Seller shall deliver the Goods to the Buyer in accordance with the terms specified in the descriptions of the Goods. These time limits are provisional and do not apply in cases where the Seller does not have the goods in stock and the Buyer is informed of a shortage of the goods ordered. By accepting these Terms and Conditions, the Buyer agrees that in exceptional cases the delivery of the goods may be delayed due to unforeseen circumstances beyond the control of the Seller. In such event, the Seller undertakes to contact the Buyer immediately to agree the terms and conditions of delivery. If the Seller fails to deliver the goods within the specified time limit and the Parties do not agree on an additional time limit for the delivery of the goods, the Buyer may exercise the right set out in Clause 11.1 of the Terms and Conditions - to withdraw from the contract of sale of goods or services.
9.3 At the time of delivery of the Goods to the Buyer, the Buyer shall inspect the condition of the consignment and the Good(s) together with the Seller or its authorised representative and sign the consignment handover-receipt document. Once the Buyer has signed the document of delivery and acceptance of the consignment, the goods shall be deemed to have been delivered in good condition, with no damage attributable to defects other than manufacturing defects and with no discrepancies in the composition of the goods(s) (such as can be detected by an external inspection of the goods). If the Buyer notices that the packaging of the delivered goods is damaged (crumpled, wet or otherwise externally damaged), the goods(s) are damaged and/or the goods(s) are not in the right condition, the Buyer shall note this in the handover/acceptance document and, in the presence of the Seller or his representative, draw up a free-form certificate of the damage/mismatch of the consignment and/or the goods(s). If the Buyer fails to do so, the Seller shall be exempted from liability for damage to the goods where the basis for such damage is not a manufacturing defect and for non-conformity of the goods with regard to the assembly of the goods, only if such non-conformity can be detected by an external inspection of the goods.
10. Guarantee of the quality of the goods and the period of fitness for use
10.1. www.tdc.lt the characteristics of the goods for sale are set out in the description of the goods for each item.
10.2 The goods offered for purchase by the Seller are of satisfactory quality, i.e. the characteristics of the goods are as described. The goods are in conformity with the consumer contract of sale if:
10.2.1. the product is as described by the Seller and has the same characteristics as the product which the Seller has provided as a sample or model when advertising that product www.tdc.lt;
10.3 The Seller shall not be liable for the fact that www.tdc.lt the size, shape, colour or other parameters of the goods may not correspond to the actual size, shape, colour or other parameters of the goods due to the characteristics of the display used by the Buyer or for other technical reasons beyond the control of the Seller. The Buyer understands that the Goods may differ slightly from their images. The Buyer is advised to read the description of the Product.
11. Cancellation of the contract of sale, return of goods
11.1. rules for the exchange and return of goods of satisfactory quality
11.1.1.The Buyer shall have the right to replace the purchased goods within 14 (fourteen) days from the date of handover of the goods to the Buyer with similar goods of a different size, shape, form, colour, model or completeness. If a price difference arises as a result of the exchange, the Buyer shall pay the Seller in accordance with the recalculated prices. The Buyer's notification of his/her wish to exercise the right provided for in this clause of the Regulations, together with the specified returned goods, shall be sent by e-mail to [email protected].
11.1.2 Upon receipt of the Goods, the Seller undertakes to replace the Goods with the same Goods only in the shape, size, colour, model or completeness specified by the Buyer. If the Seller does not have suitable goods for replacement, the Seller shall refund the money paid for the goods to the Buyer. The money shall be refunded to the Buyer within 14 (fourteen) calendar days after the Seller has received the Buyer's notification of the Buyer's wish to exercise this right, and if the Goods have not been returned by the Buyer to the Seller, the time limit provided for in this clause shall run from the date of the Goods' return to the Seller.
11.2 The following conditions must be complied with when the Buyer returns the Goods:
11.2.1. the returned goods must be in their original packaging in good condition;
11.2.2. the Goods must be undamaged by the Buyer;
11.2.3. the goods must be unused and in good condition (labels intact, protective film intact, etc.) (this does not apply in the case of returns of low-quality goods);
11.2.4. the returned goods must be in the same condition as when the Buyer received them;
11.2.5. when returning an item, you must present the document of purchase.
11.3 In the event that the Seller does not have goods suitable for replacement, the Buyer shall be refunded the amount paid, excluding the delivery charge.
11.4. Goods that are defective or incomplete
11.4.1.A Buyer who wishes to complain about defective or incomplete Goods may do so by email: [email protected]
11.5 When submitting a complaint, the Buyer must specify:
11.5.1. the order number of the Product;
11.5.2. a photograph of the product, a photograph of the defective area (if it is mechanical damage and it is possible to take a photograph);
11.5.3. a photograph of the product packaging;
11.5.4 Describe the signs of a defect, failure or identify a missing part.
11.6 When lodging a complaint, the Buyer must specify how it wishes the complaint to be resolved:

12. Responsibility
12.1 The Buyer shall be liable for the acts performed in the use of www.tdc.lt, including, but not limited to, for the accuracy of the data provided in the registration form. The Buyer shall be liable for the consequences of any inaccuracy or inaccuracy of the data provided in the registration form.
12.2 The Seller shall be exempt from any liability in cases where the loss is caused by the Buyer's failure to read these Terms and Conditions and the Privacy Policy, notwithstanding the Seller's recommendations and obligations, even though the Buyer was given the opportunity to do so.
13. Marketing measures taken by the trader
13.1 The Seller may, at its discretion, initiate www.tdc.lt various promotions or games.
13.2 The Seller has the right to unilaterally change the terms and conditions of promotions or games or to cancel them without prior notice.
13.3 The Seller shall send all notices by the means of communication specified in the Buyer's registration form.
14. Exchange of information
14.1.The Seller shall send all notifications in accordance with these Terms and Conditions and the Privacy Policy to the e-mail address provided by the Buyer during registration or when ordering the goods, and the Buyer may use all the contact channels specified in the Online Shop in the section „CONTACT“.
15. Final provisions
15.1 These Terms and Conditions are made in accordance with the laws of the Republic of Lithuania.
15.2 The law of the Republic of Lithuania shall apply to relations arising under these Terms and Conditions.
15.3 All disagreements arising out of the application of these Terms and Conditions shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the legislation of the Republic of Lithuania.
